Terms of Service

Plain English summary: You pay us to build and run your Theo system. Your data is yours. Our platform is ours. Ohio law governs any disputes. Neither party can hold the other liable for more than 30 days of fees.

1. Acceptance of Terms

By purchasing services from Business Velocity Group LLC ("BVG," "we," "us"), you ("Client," "you") agree to be bound by these Terms of Service. These terms, together with your Order Form and BVG's Refund Policy, constitute the entire agreement between you and BVG.

If you do not agree to these terms, do not purchase or use BVG services. Your continued use of Theo services constitutes ongoing acceptance.

2. Services

BVG provides an AI business operating system ("Theo") configured for your business. Services include:

  • System design, configuration, and deployment of your custom Theo installation
  • Deployment on a dedicated Virtual Private Server (VPS) in your control
  • Monthly maintenance, updates, and support as described in your selected plan
  • Access to bot modules as specified in your Order Form
  • Monthly performance reports

BVG will deploy your system within 5 business days of receipt of full setup payment. BVG maintains 99% uptime SLA for core services, excluding scheduled maintenance windows communicated at least 24 hours in advance.

3. Payment Terms

Payment obligations are as follows:

  • Setup fee — due in full before deployment begins; non-refundable after your system is operational (subject to BVG's Refund Policy)
  • Monthly retainer — due on the 1st of each month; begins on your deployment date, not your contract date
  • Late payments — accounts 15 or more days past due may have service suspended without prior notice
  • Currency — all fees are in United States Dollars (USD)

Payment is processed via Stripe. By providing payment information, you authorize BVG to charge your payment method for all fees due under your plan. You are responsible for keeping your payment information current.

4. Client Responsibilities

You agree to:

  • Provide accurate and complete business information during onboarding
  • Maintain required third-party API keys and accounts (Anthropic, Google, etc.) in good standing
  • Designate a single point of contact for system communications
  • Keep your dashboard credentials secure and not share them with unauthorized parties
  • Use Theo exclusively for lawful business purposes in compliance with applicable law
  • Not use Theo to send spam, engage in deceptive practices, or violate third-party terms of service

5. Intellectual Property

BVG's property: The Theo platform, all bot code, system prompts, proprietary frameworks, and underlying technology remain the exclusive intellectual property of Business Velocity Group LLC. No license, transfer, or assignment of BVG's intellectual property is conveyed by this agreement other than a limited right to use the service during your active subscription.

Your property: Your brand assets, business data, client information, content, and all data generated through your use of Theo remain your exclusive property. BVG claims no ownership over any client-generated content or data.

You may not reverse-engineer, copy, resell, sublicense, or create derivative works from BVG's platform or any proprietary component thereof.

6. Limitation of Liability

BVG's total liability for any claim arising under this agreement is limited to fees paid by you in the 30 days immediately preceding the claim. BVG is not liable for lost revenue, lost profits, missed business opportunities, data loss, or any indirect, incidental, special, or consequential damages — even if BVG has been advised of the possibility of such damages.

BVG is not liable for outages, failures, or degraded performance caused by third-party services including but not limited to Anthropic, OpenAI, Google, Cloudflare, Stripe, or your VPS provider.

Some jurisdictions do not permit limitation of consequential damages. If you are located in such a jurisdiction, the above limitation applies to the maximum extent permitted by applicable law.

7. Cancellation & Termination

Either party may terminate this agreement with 30 days written notice to the other party.

Upon cancellation by you:

  • Service continues through the end of your current billing period
  • No partial-month refunds are issued for the final period
  • BVG removes proprietary system access and ceases managed services within 5 business days of the cancellation effective date
  • Your VPS, domain, and all data remain your property
  • BVG will provide a full data export upon written request within 14 days

BVG may terminate immediately for: non-payment exceeding 30 days, material breach of these terms, or use of the platform for unlawful purposes.

8. Data & Privacy

BVG's collection and use of your personal information is governed by our Privacy Policy, incorporated into these terms by reference. Key principles:

  • Your operational data is stored on your dedicated VPS — not on BVG servers
  • BVG collects only anonymized performance metrics
  • No personally identifiable information from your business or clients is ever transmitted to BVG

9. Warranties & Disclaimers

BVG warrants that the Theo platform will perform materially as described in your Order Form under normal use. BVG does not warrant that the platform will be error-free, uninterrupted, or that AI-generated outputs will be accurate or suitable for any specific business decision.

THE PLATFORM IS PROVIDED "AS IS" EXCEPT AS EXPRESSLY WARRANTED ABOVE. BVG DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Governing Law & Disputes

This agreement is governed by the laws of the State of Ohio, without regard to conflict of law principles. Any dispute arising from or relating to this agreement shall be resolved exclusively in the state or federal courts located in Franklin County, Ohio. Both parties consent to the personal jurisdiction of such courts.

Before initiating formal legal proceedings, both parties agree to attempt good-faith resolution through direct communication for a period of 30 days.

11. General Provisions

  • Entire Agreement — These terms, together with your Order Form and Refund Policy, constitute the entire agreement and supersede all prior negotiations or representations
  • Amendments — BVG may update these terms with 30 days written notice; continued use constitutes acceptance
  • Severability — If any provision is found unenforceable, remaining provisions remain in full effect
  • No Waiver — Failure to enforce any term does not constitute waiver of that term
  • Assignment — You may not assign this agreement without BVG's written consent; BVG may assign in connection with a merger or acquisition
