BVG REFERRAL PARTNER TERMS v1.0 Effective: August 16, 2026 These Referral Partner Terms (“Terms”) govern participation in the Business Velocity Group (“BVG”) referral program. BVG is a trade name of Success Masters LLC. By registering as a referral partner, you agree to these Terms. 1. PROGRAM PURPOSE The BVG referral program allows approved participants to introduce prospective clients to BVG. BVG controls qualification, pricing, sales, contracting, payment, fulfillment, client communication, and acceptance of every prospective client. Participation is free and non-exclusive. 2. ELIGIBILITY You must be at least 18 years old and legally able to receive referral compensation. BVG may accept, reject, suspend, or end participation where reasonably necessary to protect the program, clients, or BVG. V1 of the program may be limited to United States payees while BVG establishes any additional international payment or tax procedures. 3. REFERRAL LINKS AND CODES BVG may provide you with a personal referral code and referral URL. They are for attribution only and do not authorize you to act for BVG, bind BVG, negotiate on BVG’s behalf, change any BVG offer, or make commitments to a prospective client. A referral is eligible only if it is a genuinely new BVG prospect, is attributed to your valid referral code/link or otherwise documented by BVG before purchase, is not a self-referral, is not already a paid BVG client, and is not already in an active BVG sales conversation unless BVG expressly approves the attribution. Unless BVG documents an exception, the first valid referral attribution wins. BVG’s checkout, payment, and sales records control attribution if records conflict. 4. CURRENT COMMISSION The current Referral Partner commission is 10% of eligible BVG service revenue actually collected from each new client attributable to you. The referral commission does not change the client’s price. The commission is not limited to the initial Assessment and may accrue on later eligible BVG services purchased by that referred client. Eligible commission is calculated from amounts actually collected by BVG for BVG services, excluding refunded or charged-back amounts and separately stated sales tax. A commission accrues when an attributable client payment is collected and becomes earned only after that payment has settled, the applicable refund or cancellation period has expired, and no refund, reversal, dispute, or chargeback is pending. BVG may pay earned commissions manually or through a secure automated payout provider, subject to required identity, banking, and tax onboarding. If the client is refunded before payout, no commission is earned. If a later payment reversal occurs after a commission has already been paid, BVG may offset the reversed commission against future commissions. Fraud or intentional abuse may require direct repayment. BVG may change the commission rate or program structure prospectively for future referrals. A prospective change does not eliminate a commission already earned, and BVG will not retroactively reduce the commission rate for an eligible client already validly attributed under the Terms then in effect. 5. REQUIRED DISCLOSURE If you publicly recommend, promote, post, or share BVG where you may receive referral compensation, you must clearly disclose that financial relationship near the recommendation or referral link in language an ordinary person can understand. Approved disclosure: “I may earn a referral fee if you become a client through my link.” Do not hide the disclosure in a profile page, hashtag block, link page, terms page, or other location a viewer is unlikely to see with the recommendation. If BVG provides prewritten promotional copy containing the disclosure, do not remove or materially obscure it. 6. TRUTHFUL PROMOTION You may use BVG-provided copy and assets or make your own truthful statements consistent with BVG’s current published materials. You must not: • claim or imply that you personally used BVG unless that is true; • promise or guarantee revenue, profit, sales, conversion, or other business results; • invent testimonials, customers, case studies, scarcity, or results; • alter BVG pricing, scope, guarantees, legal terms, or qualification requirements; • impersonate BVG or represent that you are an employee, agent, or authorized sales representative of BVG; • send unsolicited bulk spam, use fake identities, generate fraudulent traffic, or engage in deceptive marketing; • use BVG trademarks or brand terms in a misleading manner; or • bid on BVG brand terms in paid search without written approval. 7. NO EMPLOYMENT, AGENCY, OR FRANCHISE Participation does not create employment, partnership, joint venture, franchise, fiduciary duty, or agency. You have no authority to enter agreements, incur obligations, collect client payments, or make commitments on behalf of BVG. 8. TAXES AND PAYMENT INFORMATION You are responsible for your own taxes and reporting obligations arising from referral compensation. BVG may request a completed W-9 or other legally required tax documentation before releasing a payment. For operational simplicity in 2026, BVG will require valid tax documentation before releasing any payout that would cause aggregate annual referral compensation to reach the applicable information-reporting threshold, unless law, Stripe onboarding, or current tax guidance requires documentation earlier. BVG will not ask you to enter banking credentials into the public referral registration form. Banking, identity, and tax information for automated payouts will be collected only through an appropriate secure payout-onboarding process, such as Stripe-hosted connected-account onboarding, if activated. 9. PRIVACY AND RECORDS BVG may collect and retain the information you provide when registering, your referral code, referral attribution records, relevant acceptance timestamps, commission status, payment records, and tax-document status to administer the program, prevent abuse, maintain business records, and comply with law. Referral partner information is handled under BVG’s Privacy Policy. 10. PROGRAM ABUSE AND DISPUTES BVG may void an unearned commission where the referral is fraudulent, duplicated, self-referred, falsely attributed, produced through prohibited conduct, or otherwise ineligible under these Terms. If an attribution question arises, BVG will review the available referral-link/code, checkout, payment, and sales records in good faith. 11. TERMINATION You or BVG may end participation at any time. Ending participation does not eliminate a commission already earned before termination. Unaccrued or fraudulent referrals do not create a payment obligation. 12. CHANGES BVG may update these Terms as the program develops. Material changes apply prospectively unless applicable law requires otherwise. The version accepted at registration will be retained in BVG’s records. 13. LIMITATION OF LIABILITY To the fullest extent permitted by law, BVG is not liable for indirect, incidental, special, consequential, or lost-profit damages arising from participation in the referral program. BVG’s aggregate liability arising solely from a referral attribution or commission dispute will not exceed the unpaid commission amount reasonably shown to be earned under these Terms. 14. GOVERNING LAW These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules. Nothing in these Terms limits rights that cannot lawfully be waived. 15. PARTNER THEO BENEFIT After a directly attributed client completes a qualifying paid Theo Implementation and the applicable payment/refund/dispute conditions are satisfied, BVG may provide the referral partner access to “BVG Partner Theo,” a managed partner AI workspace intended to support lawful, truthful BVG business-development activity. This is a program benefit, not wages or cash compensation, has no cash-equivalent value, is not transferable, and remains subject to partner good standing, security, fair-use, provider availability/cost controls, and current program rules. BVG may suspend or terminate access for abuse, prohibited marketing, security risk, program termination, or material provider/cost changes. Standard included infrastructure is covered by BVG; extraordinary third-party spend, custom integrations, or usage outside published fair-use limits require separate approval.
